Where is the Company incorporated?

Seaway 7 ASA is a company organised in Norway under the Public Limited Liability Companies Act (Allmennaksjeloven). It was incorporated in Norway in 2020 as OHT ASA, and was renamed Seaway 7 ASA at the combination of Subsea 7’s Renewables business unit with OHT ASA as at 1 October 2021.

The registered office is located at Haakon VIIs Gate 1, 0161 Oslo, Norway.

 

Where is the Company’s stock traded?

Seaway 7’s shares are listed on the Euronext Growth (SEAW7).

 

When does the Company report financial results?

The Company’s year-end is 31 December. Quarterly financial results are scheduled as follows:

  • Fourth quarter and full year results: announced in March
  • First quarter results: announced in April
  • Second quarter results: announced in July
  • Third quarter results: announced in November

In addition, the Company will provide information regarding project awards. These are published as soon as possible following contract signature, for all contracts exceeding $50 million. Contracts with a value below $50 million are usually not announced but are included in the total order intake each quarter. Seaway 7 defines the value of its announced contracts as follows:

  • Sizeable: between $50 million and $150 million
  • Substantial: $150 million and $300 million
  • Large: $300 million and $500 million
  • Very large: $500 million and $750 million • Major: over $750 million.

 

Does Seaway 7 observe a quiet period ahead of the release of financial results?

Seaway 7 observes a quiet period from thirty (30) days prior to the publication of each quarter’s results. During this time we have limited interaction with the capital markets, and information concerning the upcoming quarterly and full year results cannot be discussed.

When is the next Annual General Meeting?

Ahead of each AGM, the date will be published in our financial calendar.

 

What is the Company’s dividend policy?

The Board of Directors will review on an annual basis whether it is appropriate to return funds to shareholders by way of additional special dividend or share repurchase.

As at 31 December 2021, Seaway 7 ASA had 436,562,575 authorised common shares. Total shares in issue were 436,562,575.

What is the Company’s core business?

Seaway 7 ASA is a construction and services contractor to the fixed offshore wind industry worldwide.

We provide a broad range of services to the fixed offshore wind market including foundations and cable installation, substation and wind turbine heavy lifts and heavy transportation. We plan, design and deliver complex projects globally.

Our vision is to a market leader in offshore wind.

 

Who are your main clients?

We work with established power companies as well as newer entrants to the offshore wind industry including oil companies engaged in Energy Transition.

 

How many people does the Company employ?

Approximately 400 onshore. We also have 600 working offshore.
